By accessing or using the Creator Verification Portal (the "Service") operated by TriplePoint ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.
The Service allows content creators to verify their YouTube and/or Twitch channels for qualification in marketing and promotional campaigns managed by TriplePoint. The Service evaluates publicly available channel metrics to determine whether a creator's channel meets the minimum requirements for a given campaign.
You must be at least 18 years of age, or the age of majority in your jurisdiction, to use the Service. By using the Service, you represent and warrant that you meet this requirement and that you have the legal authority to enter into these Terms.
To use the Service, you must authorize access to your YouTube (via Google OAuth) and/or Twitch account. By doing so, you:

You agree to provide accurate and truthful information when using the Service, including your email address and any other requested details. You must not use the Service with accounts you do not own or are not authorized to use. Any attempt to manipulate, falsify, or misrepresent channel data or identity may result in disqualification and may be reported to the applicable platform.

The Service, including its design, features, code, and content, is owned by TriplePoint and is protected by applicable intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited right to use it in accordance with these Terms.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED. CHANNEL METRICS AND QUALIFICATION RESULTS ARE PROVIDED FOR INFORMATIONAL PURPOSES AND MAY NOT REFLECT REAL-TIME DATA.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRIPLEPOINT PR AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR OPPORTUNITIES, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED ONE HUNDRED US DOLLARS ($100).
You agree to indemnify, defend, and hold harmless TriplePoint, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any third-party rights.
The Service integrates with third-party platforms including Google (YouTube) and Twitch. Your use of those platforms is governed by their respective terms of service and privacy policies. We are not responsible for the availability, accuracy, or practices of any third-party platform. If any third-party platform modifies its API or terms, the Service may be impacted without prior notice.
We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease. Sections 9 through 11 shall survive termination of these Terms.
We may update these Terms from time to time. Any changes will be reflected on this page with an updated "Last updated" date. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically.
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising from or related to these Terms or the Service shall be resolved exclusively in the state or federal courts located in San Francisco County, California, and you consent to the personal jurisdiction of such courts.
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and TriplePoint regarding your use of the Service. These Terms supersede any prior agreements or communications regarding the subject matter herein.
